Terms of Service

1. Acceptance of Terms

By accessing, purchasing, subscribing to, or using any PropTechUSA.ai or PropData service, website, dashboard, application programming interface (API), MCP service, data product, bulk-delivery product, custom endpoint, or related service (collectively, the "Services"), you agree to be bound by these Terms of Service and any order form, subscription terms, data license, product-specific terms, or written agreement that applies to your account. If you do not agree to these Terms, do not use the Services.

2. Description of Services

PropTechUSA.ai provides property-data infrastructure and related technology products, including PropData APIs, OAuth MCP access, property and parcel intelligence, country-native data products, dashboards, bulk data, enterprise integrations, custom endpoints, data infrastructure, and related software and professional services. Product scope, geographic coverage, data sources, refresh schedules, limits, and entitlements may vary by plan, market, source, or contract.

3. Accounts, Credentials, and API Keys

You are responsible for safeguarding account credentials, API keys, tokens, OAuth grants, and other access credentials issued to you. You are responsible for activity performed with your credentials. Credentials may not be shared, sold, sublicensed, published, transferred, or used by unauthorized third parties except where your plan or written agreement expressly permits it. You must promptly notify us if you believe a credential has been compromised.

4. Acceptable Use

You may use the Services only for lawful, authorized purposes and in a manner consistent with your purchased plan, applicable source restrictions, and these Terms. You may not use the Services to interfere with, damage, overload, disrupt, probe, circumvent, or gain unauthorized access to any system, account, credential, rate limit, security control, data source, or network.

Prohibited conduct includes credential sharing or resale without authorization, automated or excessive traffic intended to degrade service, unauthorized scraping or extraction outside the permitted API or delivery contract, attempts to bypass usage controls, security testing without written authorization, fraudulent activity, misuse of restricted or personal data, and requests designed to create security or operational risk.

You may not intentionally generate malformed, deceptive, abusive, or artificial request patterns for the purpose of disrupting the Services, evading controls, misrepresenting service behavior, fabricating errors, or creating misleading evidence about service performance. Good-faith integration testing, debugging, and reproducible error reporting are permitted.

5. Suspension and Termination

We may suspend, limit, rotate, or revoke credentials, restrict functionality, or terminate access to some or all Services if we reasonably believe that your use violates these Terms or an applicable agreement; creates a security, fraud, abuse, legal, regulatory, privacy, or operational risk; threatens service availability or data integrity; attempts unauthorized access; involves nonpayment or payment abuse; or could harm PropTechUSA.ai, its customers, partners, data providers, or infrastructure.

Where appropriate, we may provide notice and an opportunity to cure. We are not required to provide advance notice when prompt action is reasonably necessary to protect the Services, users, data, infrastructure, or third parties. Upon termination, your authorization to use the affected Services ends immediately. We may preserve relevant usage, security, billing, and account records consistent with applicable law and our privacy obligations.

6. Fees, Billing, Cancellation, and Refunds

Fees, usage limits, billing cycles, renewal terms, and payment obligations are stated in the applicable plan, checkout flow, order form, invoice, or written agreement. Unless otherwise stated in a specific written agreement or required by applicable law, all fees are non-refundable.

Digital and API access may begin immediately when credentials, entitlements, downloads, or other access are issued or activated. Cancellation stops future renewal only unless otherwise stated; it does not automatically reverse charges already incurred, usage already consumed, data already delivered, or access already provided. Outstanding amounts remain due after suspension or termination unless applicable law or a written agreement requires otherwise.

7. Data Rights, Source Restrictions, and Redistribution

The Services may include data originating from public agencies, licensed providers, third parties, derived datasets, and PropTechUSA.ai systems. Your right to use data is limited to the rights included in your plan or written agreement and may be subject to source-specific license terms, privacy rules, geographic restrictions, attribution requirements, or redistribution limitations.

You may not redistribute, resell, expose, publish, or sublicense restricted data, personal data, licensed data, bulk exports, or source-derived records unless your plan, contract, and the applicable source rights expressly permit that use. You are responsible for your downstream use of data and for complying with applicable privacy, data-protection, consumer-protection, and other laws.

8. Service Availability and Data Quality

Property and public-record systems differ by jurisdiction and source. Coverage, fields, identifiers, update timing, completeness, and availability may vary. Data may contain omissions, delays, source errors, historical gaps, null values, or jurisdiction-specific limitations. We may modify routes, sources, schemas, refresh methods, or coverage where reasonably necessary to operate or improve the Services.

The Services are not title insurance, a title report, legal advice, financial advice, an appraisal, or a substitute for independent due diligence where such diligence is required. You are responsible for determining whether the Services are appropriate for your use case.

9. Intellectual Property

PropTechUSA.ai and its licensors retain all rights in the Services, APIs, software, documentation, schemas, trademarks, designs, models, derived systems, reusable frameworks, and other proprietary technology, except for rights expressly granted in a written agreement. For custom development, ownership of project-specific deliverables is governed by the applicable project agreement.

10. Confidentiality and Security

Non-public credentials, documentation, source access, pricing, technical details, restricted data, and other information identified as confidential or that reasonably should be understood as confidential must not be disclosed or used outside the purposes authorized by the applicable relationship. You may not attempt to derive, expose, or publish security-sensitive information about the Services except through an authorized security-disclosure process.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available." PropTechUSA.ai disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation, except to the extent a written agreement expressly provides otherwise.

12. Limitation of Liability

To the maximum extent permitted by law, PropTechUSA.ai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, business interruption, or loss of goodwill arising from or related to the Services. To the maximum extent permitted by law, PropTechUSA.ai's aggregate liability for claims relating to a Service will not exceed the fees you paid to PropTechUSA.ai for that Service during the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot legally be limited.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PropTechUSA.ai and its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from your misuse of the Services, your violation of these Terms or an applicable agreement, your unlawful or unauthorized use or redistribution of data, or your infringement of third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date identifies the current version. For material changes, we may provide additional notice where appropriate. Continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law. Changes are not intended to retroactively alter rights or obligations for conduct that occurred before the updated Terms became effective unless the parties agree otherwise or applicable law permits it.
